This Sample Services Agreement ("Agreement") is made between Your Firm and Sample Vendor Inc.

1. Services. Vendor agrees to perform marketing services with best efforts. The scope of services will be detailed in a separate document, to be provided at a later date.

2. Payment. Your Firm will pay invoices within a reasonable time. Any disputes over payment must be resolved amicably.

3. Term. This agreement is effective upon signing and continues indefinitely. The Company may terminate with 30 days notice, but the Client must provide 90 days.

Notwithstanding any other provision herein, the cumulative liability of the Vendor for all claims arising out of or relating to this Agreement, whether in contract, tort, or otherwise, shall not exceed the aggregate fees paid by the Client to the Vendor in the preceding six (6) month period. This is a complex sentence.
